Job Summary



We are seeking an experienced Contracts & Risk Manager to join our Global Logistics Contracts & Risk Team. The role involves drafting, reviewing, negotiating, and transforming contracts for IT Spare Parts sourcing and support, across multiple regions. The successful candidate will be a qualified lawyer with strong expertise in spares, supply chain contracting and a proven ability to drive contract lifecycle management (CLM) transformation.

What you will do:



Contracts & Risk Management
  • Drive end-to-end contracts management including contract review, drafting, redlining, negotiation and execution with leading global IT spare parts, semiconductor, electronics and hardware suppliers.
  • Lead negotiations from the Contracts team to resolve contractual and commercial issues by leveraging legal, sourcing, operational and financial knowledge.
  • Influence and support Sourcing Managers and business stakeholders in procurement decisions by supplementing legal and contractual perspectives along with industry-prevalent practices in IT spare parts and technology supplier contracting.
  • Draft, review and negotiate complex commercial agreements including:
  • Master Supply Agreements (MSA), Global Framework Agreements, Technology Procurement Agreements, Hardware Supply Agreements, Supplier & Vendor Agreements, Support & Maintenance Agreements, Warranty Agreements, SaaS / Cloud / Licensing Agreements, Data Privacy & Cybersecurity Agreements, Statements of Work (SOW), Outsourcing & Managed Services Agreements



  • Identify critical contractual, commercial, operational and regulatory risks in supplier contracts and provide practical mitigation strategies and resolution approaches.
  • Provide timely escalation of contractual risks, supplier non-compliance issues and commercial disputes to leadership and stakeholders.
  • Drive obligations assessment and contract governance for assigned suppliers to improve supplier performance, ensure contractual compliance and mitigate commercial and operational risks.
  • Support cross-functional collaboration with sourcing, procurement, supply chain, engineering, operations, finance, compliance and legal teams for contract structuring and execution.

Transformation & Automation
  • Support the transformation of Contracts Management into a best-in-class Centre of Excellence by driving: Contract standardization, Process optimization, Contract governance improvements, Automation initiatives, CLM implementation and adoption,
  • Contribute towards implementation and enhancement of Contract Lifecycle Management (CLM) tools and digital contracting processes.
  • Identify opportunities for continuous improvement in contracting workflows, risk management and supplier governance processes.

Technical Requirements
  • Well versed with MS Office tools.
  • Experience working with Contract Lifecycle Management (CLM) tools including implementation, configuration support or business adoption.
  • Familiarity with AI-enabled contracting tools and digital contracting platforms preferred.

Other Requirements
  • Strong understanding of contractual, commercial and operational risks associated with:
  • IT spare parts sourcing, Technology procurement, Global supplier engagements
  • Good understanding of prevalent market practices in technology procurement and IT spare parts contracting.
  • Excellent drafting, negotiation, communication and stakeholder management skills.
  • Advanced written, verbal and presentation skills with mastery in English drafting.
  • Ability to work with global stakeholders and suppliers across multiple jurisdictions and time zones.
  • Demonstrated experience of working closely with sourcing, procurement, business and operations teams to drive contract structuring, negotiations and contract closures.
  • Strong analytical, problem-solving and risk assessment capabilities.

What you need to bring:



Primary Qualification



  • LL.B from a reputed university
  • LL.M preferred
Experience
  • 10–12 years of post-qualification experience working in an In-House Legal or Contracts Management team supporting global supplier / procurement contracts.
  • Strong experience in:
  • ODM, OEM Agreements, IT Spare Parts Contracts, Technology Procurement Contracts, Semiconductor / Electronics Supply Chain Contracts, Global Sourcing & Supplier Agreements, Hardware / Infrastructure / Data Center procurement contracting



  • Experience handling contracts related to IT spare parts and technology commodities such as: SSD / HDD, GPU, CPU, Memory / RAM, Servers & Storage Components, Networking Hardware, Electronic Components, Data Center Hardware
  • PCB / PCBA Components, Proven ability as a subject matter expert in one or more contracts functional areas, combined with significant experience providing contracts support for complex global supplier engagements across multiple business units.
